Terms of Service

These Terms of Service (“Terms”) are an agreement between you and MemberZone LLC, a California limited liability company (“MemberZone,” “we,” or “our”). They govern access to and use of the MemberZone platform - our website, merchant dashboard, member portal, APIs, and related services (collectively, the “Services”). By creating an account or using the Services, you agree to these Terms. If you do not agree, do not use the Services.

The Services help merchants run membership and loyalty programs connected to point-of-sale systems such as Square, Toast, Lightspeed, Clover, SpotOn, Shopify, and Revel. “Merchant” means a business using MemberZone to manage programs; “Member” means an end customer enrolled in a merchant's program.

1. Eligibility

You must be at least 18 years old and able to enter a binding contract to use the Services. If you register on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Accounts and security

You are responsible for safeguarding your login credentials and for all activity under your account. Notify us immediately at hello@thememberzone.com if you suspect unauthorized access.

Merchants are responsible for staff accounts they invite and for configuring permissions appropriately within their organization.

3. Acceptable use

You agree not to misuse the Services. Prohibited conduct includes:

  • Interfering with or disrupting the integrity, security, or operation of the Services or other users
  • Accessing data or accounts that are not yours
  • Sending unsolicited bulk messages through the platform
  • Reverse engineering, decompiling, disassembling, or otherwise attempting to derive the source code of the Services
  • Accessing or using the Services to build or assist in building a competing product or service
  • Circumventing or attempting to circumvent any security measure, access control, or usage limit
  • Reselling, sublicensing, or making the Services available to anyone other than your own personnel and members
  • Using the Services in violation of applicable law or third-party rights

4. Fees and payments

MemberZone charges a volume-based fee on membership and loyalty transaction volume processed through the Services, as described on our pricing page or in your order form. There is no separate monthly platform subscription unless otherwise agreed in writing.

A merchant may also authorize a member convenience fee, which is added to member charges as a separate line item at checkout and retained by MemberZone. A one-time onboarding and implementation fee applies to every new merchant and is quoted before signing. Other optional services, such as additional data migration, custom development, or custom integrations, are quoted separately. None of these are included in the volume-based fee.

Payment processing for member billing is handled by third-party providers (such as Stripe) and is subject to their terms. You authorize MemberZone and our payment partners to charge your designated payment method for fees you incur.

5. Third-party integrations

The Services connect to third-party platforms including Square, Toast, Lightspeed, Clover, SpotOn, Shopify, Revel, Stripe, Shippo, Vinoshipper, ShipCompliant, Avalara, Resend, and shipping carriers. Your use of those platforms is governed by their terms. MemberZone is not responsible for outages, policy changes, or data handling by third parties outside our control.

When you connect an integration, you authorize MemberZone to exchange data with that provider as needed to operate your programs - for example, syncing catalog items, recognizing members at checkout, or generating shipping labels.

6. Ownership, your content, and member data

You retain ownership of content you submit to the Services, including member records, product catalogs, and marketing materials (“Your Content”). You grant MemberZone a non-exclusive license to host, process, and display Your Content solely to provide and improve the Services.

MemberZone and its licensors retain all right, title, and interest in and to the Services, including the software, technology, documentation, designs, workflows, interfaces, and know-how, and all improvements and derivative works of any of them. Except for the limited right to access and use the Services under these Terms, no rights in the Services are granted or transferred to you, whether by implication, estoppel, or otherwise.

You may provide suggestions or feedback regarding the Services, and MemberZone may use such feedback without restriction or obligation. Nothing we build in response to your suggestions gives you any ownership interest in the Services.

Merchants are independent controllers of their members’ program data. MemberZone processes that data on the merchant’s instructions as described in our Privacy Policy.

7. Service availability and disclaimer

We strive for reliable uptime but provide the Services “as is” and “as available” without warranties of any kind, whether express or implied, including merchantability or fitness for a particular purpose.

To the maximum extent permitted by law, MemberZone is not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits or data, arising from your use of or inability to use the Services.

8. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate access if you violate these Terms, create risk for other users, or if required by law. Upon termination, you may export your data for a reasonable period consistent with our retention practices.

9. Changes to these Terms

We may update these Terms from time to time. Material changes will be communicated by email or in-app notice before they take effect. Continued use after the effective date constitutes acceptance of the revised Terms.

10. General

These Terms, together with our Privacy Policy and any order form or integration agreement you accept, constitute the entire agreement between you and MemberZone regarding the Services.

Sections 3 (Acceptable use), 4 (Fees and payments), 6 (Ownership, your content, and member data), 7 (Service availability and disclaimer), 8 (Suspension and termination), and 10 (General) survive any termination of these Terms, along with any other provision that by its nature is intended to survive.

These Terms are governed by the laws of the State of California, without regard to conflict-of-law principles, except where mandatory consumer protection laws in your jurisdiction provide otherwise. The state and federal courts located in California have exclusive jurisdiction over any dispute arising out of or relating to these Terms.
